TERMS AND CONDITIONS FOR THE PROVISION OF PRE-EMPLOYMENT VETTING AND PASS SPONSORSHIP SERVICES

1. Definitions

• Applicant: An individual for whom the Participant Company requests pre-employment vetting services.

• Participant Company: An organisation that engages Red Sky for vetting services and complies with relevant UK airport security requirements.

• ID Pass Scheme: The identity pass system operated by UK airports, ensuring controlled access to restricted zones.

• Client: The Participant Company responsible for ID Pass applications, compliance with security protocols, and pass holder responsibilities.

• Pass Holder: An individual issued an ID Pass under the UK Airport ID Pass Scheme.

• Data Protection Legislation: The Data Protection Act 2018, UK GDPR, and any relevant UK legislation regarding data privacy and processing.

• Red Sky: The service provider offering pre-employment vetting and pass sponsorship services.

2. Obligations of the Participant Company

2.1 The Participant Company warrants that it is a Qualifying Person and must notify Red Sky immediately if it ceases to be so.

2.2 The Participant Company must:

• Comply with all relevant UK airport byelaws, regulations, and security directives.

• Understand and comply with these Terms and Conditions.

• Implement employment contracts that outline the significance of pass holder responsibilities and the disciplinary implications of non-compliance.

• Ensure the safekeeping and proper use of ID Passes and Vehicle Passes, and immediately report any lost, stolen, or misused passes to Red Sky and the relevant airport authority.

• Pay all vetting and processing charges in full within the agreed timeframe.

2.3 Responsibility for Sponsored Operatives

Where Red Sky acts as the Authorised Signatory for ID Pass applications on behalf of the Participant Company, the Participant Company acknowledges and agrees that:

• The operative will be under the supervision, direction, and control (SDC) of the Participant Company while airside.

• The Participant Company assumes full responsibility for the operative's actions, conduct, and compliance with all applicable laws, regulations, and airport security requirements during their time airside.

• The operative will be covered under the Participant Company's insurance policies, and Red Sky shall not be held liable for any incidents, claims, or damages arising from the operative's presence or activities while airside.

3. Obligations of the Pass Holder

3.1 The Participant Company must ensure that each Pass Holder:

• Complies with UK airport security procedures and regulations.

• Uses the ID Pass solely for work-related purposes.

• Keeps the ID Pass visible and secure while on duty and removes it when off duty.

• Reports any lost or stolen ID Passes immediately to the appropriate authorities.

• Does not allow ‘tailgating’ or improper use of restricted area access.

• Does not use the ID Pass to bypass immigration controls.

• Adheres to escorting responsibilities where applicable.

4. Role of Red Sky

4.1 Red Sky will act as the Authorised Signatory for ID Pass applications.

4.2 Red Sky will conduct all referencing and background checks, ensuring compliance with UK airport security requirements.

4.3 The Participant Company remains fully responsible for ensuring pass holders adhere to all relevant airport security policies and regulations.

5. Data Protection and Compliance

5.1 Red Sky and the Participant Company acknowledge that:

• The Participant Company is the Data Controller and Red Sky is the Data Processor.

• Personal data will be processed only for legitimate vetting purposes.

• Data retention policies comply with UK GDPR, storing applicant data for a necessary period before secure deletion.

• Red Sky will implement appropriate security measures to protect personal data.

6. Fees and Payment

6.1 The Participant Company shall pay all fees within 7 days of invoice.

6.2 If an application is withdrawn before completion, a 50% rebate may be applied, subject to outstanding references and provided that all invoices have been paid in full and within the agreed payment terms.

6.3 If all references are collected prior to withdrawal, the full fee is payable regardless of the stage of the application.

6.4 Unpaid invoices beyond 14 days may result in service suspension.

6.5 Temporary and Visitor Passes

• Applications for temporary and visitor passes are subject to the same terms and conditions as standard ID Pass applications.

• No refunds will be provided under any circumstances once an application has been submitted.

6.6 Pricing

• Our pricing is transparent and clearly stated on our forms. By submitting a form, you acknowledge and agree to the pricing as outlined.

7. Indemnification

7.1 The Participant Company shall indemnify Red Sky against losses or claims arising from the misuse of ID Passes or non-compliance with airport security procedures.

8. Termination and Enforcement

8.1 Red Sky reserves the right to terminate this agreement if the Participant Company breaches security protocols or fails to comply with ID Pass Scheme requirements.

9. Governing Law

9.1 These Terms and Conditions shall be governed by the laws of England and subject to the jurisdiction of English courts.
